Item 7.01 Regulation FD Disclosure.
On August 4, 2016, HSN, Inc., a Delaware corporation (“HSNi”), announced its financial results for the quarter ended June 30, 2016. A copy of HSNi’s press release is furnished as Exhibit 99.1 to this report on Form 8-K and is incorporated herein by this reference. Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers
Effective August 4, 2016, Judy Schmeling was appointed President of Cornerstone Brands, Inc. The Company has initiated a search for a new Chief Financial Officer. Ms. Schmeling will continue in her role as Chief Operating Officer and, until a new Chief Financial Officer is appointed, as Chief Financial Officer. A copy of HSNi’s press release attached as Exhibit 99.2 to this report on Form 8-K is incorporated herein by this reference.
