On September 23, 2020, in connection with the proposed merger with Chinook Therapeutics U.S., Inc. (“Chinook”) contemplated by that certain Agreement and Plan of Merger and Reorganization, dated June 1, 2020, by and among Aduro Biotech, Inc. (“Aduro” or the “Company”), Chinook and Aspire Merger Sub, Inc. (the “Merger Agreement”), the Board of Directors of the Company approved a dividend (the “Closing Dividend”) on all issued and outstanding shares of common stock, par value $0.0001 per share, of the Company (the “Common Stock”) consisting of the right to receive one contingent value right per share of Common Stock (each, a “CVR”). As further described in the Company’s Registration Statement on Form S-4 previously filed with the Securities and Exchange Commission, each CVR will represent the right to receive certain cash payments from the Company upon the actual receipt by the Company or its affiliates, after the end of each fiscal quarter of the Company following the first anniversary of the closing of the merger for a period of ten years, of contingent proceeds derived from any consideration that is paid to the Company as a result of the disposition of any of the Company’s non-renal assets or revenue received from the license of certain non-renal assets, or as a result of the Company’s equity ownership in any subsidiary that is established to hold such non-renal assets or the subsequent disposition of any such equity securities, net of any tax, transaction costs and certain other expenses incurred by the Company or its affiliates in connection with such payments (collectively, the “Gross Proceeds”). All payments will be made to stockholders of record as of the close of business on October 2, 2020. The dividend will be distributed three business days after the effective time of the merger with Chinook. In the event that the Company does not receive any Gross Proceeds, holders of the CVRs will not receive any payment with respect thereto.
