| Item 1.01. | Entry into a Material Definitive Agreement |
On November 30, 2023, First Savings Bank (the “Bank”), the wholly-owned subsidiary of First Savings Financial Group, Inc., entered into an Agreement for the Bulk Purchase and Sale of Mortgage Servicing Rights (the “Agreement”) with Nationstar Mortgage LLC (“Purchaser”) for the bulk sale of the Bank’s residential mortgage servicing portfolio representing residential mortgage loans serviced by the Bank on behalf of Fannie Mae and Freddie Mac (the “MSR Portfolio”). The MSR portfolio totaled $4.7 billion and the gross purchase price totaled $61.1 million, of which $58.0 million was received at closing on November 30, 2023 and the remaining $3.1 million to be received upon the Bank’s satisfaction of certain mortgage loan documentation deliveries to Purchaser and its agents.
