Nature of securities ownership:
Oryon Capital, LLC owns 492,400 shares of the issuer’s common stock directly and 970,728 shares underlying Warrants to purchase the issuer’s common stock at $0.31 per share. In addition, Oryon Capital, LLC is deemed to have beneficial ownership of 9,022,824 shares of the issuer’s common stock held by MRM Acquisitions, LLC. See Item 6 below.

Item 3. Source and Amount of Funds or Other Consideration.
The securities were acquired in exchange for the membership units of OryonTechnologies, LLC previously held by Oryon Capital, LLC in the course of the merger of the issuer with OryonTechnologies, LLC, as reported in the issuer’s Form 8-K filed May 7, 2012. The membership units of OryonTechnologies, LLC held by Oryon Capital, LLC were originally acquired by Oryon Capital, LLC using equity funds invested by the members of Oryon Capital, LLC.
Item 4. Purpose of Transaction.
The securities were acquired in exchange for the membership units of OryonTechnologies, LLC in the course of the merger of the issuer with OryonTechnologies, LLC as reported in the issuer’s Form 8-K filed May 7, 2012. Oryon Capital, LLC has no current or anticipated plans or proposals which relate to or would result in:
(a) The acquisition by any person of additional securities of the issuer, or the disposition of securities of the issuer;
(b) An extraordinary corporate transaction, such as a merger, reorganization or liquidation, involving the issuer or any of its subsidiaries;
(c) A sale or transfer of a material amount of assets of the issuer or any of its subsidiaries;
(d) Any change in the present board of directors or management of the issuer, including any plans or proposals to change the number or term of directors or to fill any existing vacancies on the board;
(e) Any material change in the present capitalization or dividend policy of the issuer;
(f) Any other material change in the issuer’s business or corporate structure, including but not limited to, if the issuer is a registered closed-end investment company, any plans or proposals to make any changes in its investment policy for which a vote is required by section 13 of the Investment Company Act of 1940;
(g) Changes in the issuer’s charter, bylaws or instruments corresponding thereto or other actions which may impede the acquisition of control of the issuer by any person;
(h) Causing a class of securities of the issuer to be delisted from a national securities exchange or to cease to be authorized to be quoted in an inter-dealer quotation system of a registered national securities association;
(i) A class of equity securities of the issuer becoming eligible for termination of registration pursuant to section 12(g)(4) of the Act; or
(j) Any action similar to any of those enumerated above.
Item 5. Interest in Securities of the Issuer.
(a) | Oryon Capital, LLC owns 492,400 shares of the issuer’s common stock directly plus 970,728 shares underlying Warrants to purchase the issuer’s common stock at $0.31 per share, for a total position of 1,463,128 shares representing 3.3% of the issuer’s common stock. |
Oryon Capital, LLC owns 66.2% of the membership units of MRM Acquisitions, LLC and consequently has voting control and investment discretion over the securities held by MRM Acquisitions, LLC. As a result, Oryon Capital, LLC may be deemed to have beneficial ownership (as
defined by Section 13(d) of the Securities Exchange Act of 1934, as amended) of the shares of common stock owned by MRM Acquisitions, LLC. MRM Acquisitions, LLC holds 7,176,000 shares of common stock owned directly plus 1,846,824 shares underlying Series C Warrants to purchase common stock at $0.31 per share, for a total position of 9,022,824 shares representing 24.9% of the issuer’s common stock.
In total, Oryon Capital, LLC beneficially holds 10,485,952 shares representing 28.2% of the issuer’s common stock.

MRM Acquisitions, LLC holds 7,176,000 shares of common stock owned directly and 1,846,824 shares underlying Series C Warrants to purchase the issuer’s common stock at $0.31 per share. Oryon Capital, LLC owns 66.2% of the membership units of MRM Acquisitions, LLC and consequently has voting control and investment discretion over the securities held by MRM Acquisitions, LLC. As a result, Oryon Capital, LLC may be deemed to have beneficial ownership (as defined by Section 13(d) of the Securities Exchange Act of 1934, as amended) of the shares of the issuer’s common stock owned by MRM Acquisitions, LLC.
