2. These shares were withheld by Motorcar Parts of America, Inc. to pay the tax liability incident to the vesting of restricted stock units granted on June 20, 2017.

3. Each restricted stock unit represents the contingent right to receive one share of MPAA common stock.

4. On June 20, 2017, the reporting person was granted 4100 restricted stock units, vesting in three equal annual installments beginning on the first anniversary of the grant date.
