Explanation of Responses:

1. This Form 4/A is being filed solely to amend the Form 4 filed for the Reporting Person on September 17, 2018, to correct the transaction code which was inadvertently reported as transaction code "S"instead of transaction code "F".

2. On September 13, 2018, the Reporting Person provided notice of exercise of warrants to purchase 220,000 shares of common stock for $1.30 per share on a cashless basis. The cashless exercise was approved by the Board of Directors of Lilis Energy, Inc. (the "Company"). Issuer executed the transaction on September 13, 2018, based on September 12, 2018 stock prices, resulting in issuer withholding 52,865 shares to pay the exercise price.

3. These securities are held indirectly for the benefit of KES 7 Capital Inc., for which Reporting Person is the natural person with ultimate voting and dispositive power.
