Explanation of Responses:

1. A phantom share is the economic equivalent of one share of common stock and, subject to the applicable vesting requirements, becomes payable in cash. These phantom shares vest in equal installments on each of the first three anniversaries of the award.

Remarks:

The Form 4 originally filed on behalf of the reporting person on February 2, 2017 incorrectly reflected the number of securities beneficially owned following the reported acquisition. This amendment is intended to replace, in its entirety, the Form 4 filed on February 2, 2017.
