This Amendment No. 2 (this “Second Amendment”) to Schedule 13D is filed by E. Peter Hoffman, Jr. (the “Reporting Person”) with respect to the Reporting Person’s beneficial ownership of shares of common stock, par value $0.0001 per share (the “Common Stock”), of Osage Exploration and Development, Inc., a Delaware corporation (the “Issuer”). This Second Amendment amends the initial statement on Schedule 13D filed by the Reporting Person on July 3, 2008, as previously amended by Amendment No. 1 to Schedule 13D filed by the Reporting Person on April 8, 2011 (collectively, the “Prior 13D”). Unless otherwise indicated, all capitalized terms used but not defined herein shall have the same meaning ascribed to them in the Prior 13D. Except as indicated herein, the information set forth in the Prior 13D remains unchanged.

Item 5. | Interest in Securities of the Issuer. |
(a) As of the date of this Second Amendment, the Reporting Person is the beneficial owner of 5,639,119 shares of Common Stock, which constitutes 11.8% of the outstanding shares of Common Stock. The beneficial ownership percentage of the Reporting Person is calculated based on 47,799,775 shares of Common Stock outstanding as of November 10, 2011, as reported in the Issuer’s Quarterly Report on Form 10-Q filed with the Securities and Exchange Commission on November 10, 2011.
(b) The Reporting Person has sole voting and dispositive power with respect to all of the 5,639,119 shares of Common Stock beneficially owned by him.
(c) On October 28, 2011, the Reporting Person made a gift of 100,000 shares of Common Stock. In a series of sale transactions on the open market from December 8 to December 21, 2011, the Reporting Person sold a total of 480,881 shares of Common Stock at prices ranging from $0.48 to $0.52 per share, as more specifically described in Forms 4 filed by the Reporting Person with the Securities and Exchange Commission on December 12, 15, 19 and 22, 2011, respectively.
