Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of Issuer's common stock.

2. As previously reported, on 05/05/23, the reporting person was granted 17,010 restricted stock units ("RSUs"), all of which cliff vested on 04/10/24, the date of Issuer's 2024 Annual Stockholders Meeting. Dividend equivalent rights accrue with respect to these RSUs when and as dividends are paid on Issuer's common stock. The number of derivative securities in column 5 includes 120.9959 dividend equivalent rights at $16.87 per RSU credited to the reporting person's account on 07/14/23, 123.8592 dividend equivalent rights at $16.48 per RSU credited to the reporting person's account on 10/13/23, and 135.0825 dividend equivalent rights at $16.37 per RSU credited to the reporting person's account on 01/11/24. The number of derivative securities in column 5 reflects 380 dividend equivalent rights and a de minimus adjustment of 0.0624 due to fractional rounding of the dividend equivalent rights.
