PART III - NARRATIVE
The Registrant is unable to file its quarterly report on Form 10-Q within the prescribed time period because the Registrant has encountered some difficulty in compiling necessary disclosures and compilation of its financial statements for review by its independent public accountant.
The Registrant expects that it will be able to complete the remaining work described above in time to file its Form 10-Q for the period ended September 30, 2009 within the five-day extension provided by Rule 12b-25.
