On April 23, 2014, Zynga Inc. (the “Company”) issued a press release announcing financial results for its first fiscal quarter ended March 31, 2014. A copy of the press release is furnished as Exhibit 99.1 to this Current Report and is incorporated herein by reference.

Departure of Directors or Certain Officers
On April 18, 2014, Mark Pincus provided notice of his resignation from his position as Chief Product Officer of the Company, effective as of April 23, 2014. Mr. Pincus will remain in his position as non-executive Chair of the Board of Directors of the Company.
