Item 2.03 Creation of a Direct Financial Obligation
On February 1, 2011, FusionTech, Inc. drew down $1.67 million under a Credit Facility Agreement with the Shanghai Pudong Development Bank, dated January 19, 2011 (the “Credit Facility Agreement”). The loan matures on January 31, 2012, and carries an interest rate of 120% of the China benchmark interest rate, adjustable, and with interest payable, at the end of each of our fiscal quarters. The material terms and conditions of the loan are governed by the Credit Facility Agreement filed on January 31, 2011, as Exhibit 10.15 to the Second Amendment to our Form 8-K.
