Explanation of Responses:

1. The rights accrued when and as cash dividends were reinvested in securities and vest on the same terms as the RSUs to which they relate with vested shares delivered shortly after vesting.

2. Represents 1,769 RSUs originally granted on February 26, 2013 plus prior dividends and 15 RSUs issued effective March 16, 2016 in connection with the company's cash dividend.

3. Represents 1,811 performance RSUs originally granted on March 20, 2013 and earned February 26, 2016 and 16 RSUs issued effective March 16, 2016 in connection with the company's cash dividend.

4. Represents 2,903 RSUs originally granted on February 25,2014 plus prior dividends and 25 RSUs issued effective March 16, 2016 in connection with the company's cash dividend.

5. Represents 4,779 RSUs originally granted on February 24, 2015 plus prior dividends and 42 RSUs issued effective March 16, 2016 in connection with the company's cash dividend.

6. Represents 10,935 RSUs originally granted on February 23, 2016 and 96 RSUs issued effective March 16, 2016 in connection with the company's cash dividend.
