Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
(d) The Clearwater Paper Corporation Board of Directors elected Richard D. Peach as Director, effective March 1, 2018. Mr. Peach will serve as one of the Board’s Class II directors whose members’ terms expire at the Company’s annual meeting to be held in 2019. Mr. Peach will serve on the Audit Committee of the Board.
There was no arrangement or understanding between Mr. Peach and any other person pursuant to which Mr. Peach was elected as a director. There are no transactions or relationships between the Company and Mr. Peach that are reportable under Item 404(a) of Regulation S-K.
Mr. Peach will receive compensation for his service pursuant to the Company's existing directors' compensation program described in the Company's most recent Proxy, including a cash retainer for his Board and committee service and the receipt of phantom common stock units subject to the Company's Deferred Compensation Plan for Directors. He will also enter into the Company's standard indemnification agreement for directors and executive officers.
On March 1, 2018 the Company issued a press release announcing the election of Mr. Peach to the Board of Directors. A copy of the press release is attached hereto as Exhibit 99.1.
