Explanation of Responses:

1. This number reflects the gross amount of shares (prior to any withholding by issuer to satisfy related tax obligations) issued to the reporting person upon settlement of performance-based restricted stock units previously awarded to the reporting person.

2. These securities were withheld by Issuer to satisfy tax liabilities arising incident to the vesting of Restricted Stock Units.

3. The reporting person received a grant of Restricted Stock Units that will vest quarterly over four years.

4. This number reflects the gross amount of shares (prior to any withholding by the issuer to satisfy related tax obligations) issued to the reporting person upon settlement of the Executive Short Term Incentive Plan.
