1. Each restricted stock unit represents the contingent right to receive one share of XBKS common stock.

2. The restricted stock units vest in 12 equal installments on the last day of each month ending on April 30, 2017. The shares become non-forfeitable upon vesting. The shares will be delivered to the reporting person on May 6, 2018.
