On December 16, 2019, in connection with equity financing for the acquisition of Vitamin Shoppe, Inc. through a private placement of shares of Issuer's common stock, the Reporting Person purchased 68,679 shares of common stock from the Issuer for an aggregate purchase price of $824,148 at a per share price of $12.00.

2. On December 16, 2019, in connection with equity financing for the acquisition of Vitamin Shoppe, Inc. through a private placement of shares of Issuer's common stock, the Reporting Person purchased 6,790 shares of common stock from the Issuer for an aggregate purchase price of $175,861 at a per share price of $25.90.
