Item 8.01 Other Events
On December 17, 2021, Merck Sharp & Dohme Corp. (“Merck”) notified Yumanity Therapeutics, Inc. (the “Company”) that Merck has accepted the first data package from their research collaboration with the Company relating to amyotrophic lateral sclerosis, or ALS (also known as Lou Gehrig’s disease) and frontotemporal lobar degeneration, or FTLD, and that Merck has elected to continue the research collaboration. Achievement of this milestone triggers a $5M milestone payment from Merck.
In June 2020, the Company entered into an exclusive license and research collaboration agreement with Merck to support the research, development and commercialization of products for the treatment of ALS and FTLD. The Company is eligible to receive additional potential milestone payments of up to $525 million, plus royalties.
