Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 1, 2022, Workiva Inc. (the "Company") and Mithun Banarjee agreed that Mr. Banarjee would terminate his employment with the Company. Mr. Banarjee's departure was effective as of September 1, 2022.
In connection with his departure, the Company and Mr. Banarjee entered into a Separation Agreement and General Release (the “Agreement”) on September 1, 2022. The Agreement has an effective date of September 1, 2022, following the end of the applicable revocation period. It provides that any of Mr. Banarjee’s outstanding stock or equity-based compensation awards that have not yet vested will vest immediately. If Mr. Banarjee elects continuation coverage under COBRA, the Company will make continued payments for his health insurance coverage for 18 months or until Mr. Banarjee becomes eligible to receive coverage from another employer, whichever occurs first. Finally, the Agreement includes other standard provisions contained in agreements of this nature, including non-disparagement, confidentiality, and a general release of any and all claims against the Company.
The Company appreciates Mr. Banarjee’s service and commitment and wishes him well. A copy of the Agreement is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
