Resignation of Executive Officer
On October 11, 2012, Peter K. Kompaniez notified TNP Strategic Retail Trust, Inc. (the “Company”) of his resignation from his position as Co-Chief Executive Officer of the Company, effective as of October 9, 2012. At the present time, Mr. Kompaniez will not be replaced.

On October 17, 2012, the Company distributed a press release announcing that the Company’s board of directors had authorized the Company to pursue the acquisition of a multi-tenant grocery anchored retail property located in Lahaina, Maui, Hawaii commonly known as the Lahaina Gateway Center, from a bank, for a price substantially below both the construction loan the bank foreclosed on in September 2011 and our lender’s appraisal conducted in June 2012.
The full text of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated by reference into this Item 7.01.
