1. Director stock option grant pursuant to Rule 16b-3(d). CF: Last year, the stockholders of COPsync, Inc. (the "Company") approved an amendment to the Company's 2009 Long-Term Incentive Plan (the "Plan) which, in part, increased the number of automatic stock option grants issued to outside Board members on the first business day of the year to 10,000 shares, provided the Board member has served on the Board at least six months.

2. Vested option shares that are purchasable by Ms. Ingargiola within 60 days.
