1. Each performance-based restricted stock unit ("PSU") represents a contingent right to receive one share of the Issuer's common stock.

2. Represents an award of PSUs of the Issuer under the Park Hotels & Resorts Inc. 2017 Omnibus Incentive Plan, approved by the Compensation Committee of the Issuer, one-eighth of which PSUs will vest on each date prior to the fourth anniversary of grant that the Issuer achieves average closing stock price targets of $11.00, $13.00, $15.00, $17.00, $19.00, $21.00, $23.00 and $25.00 over a consecutive 20-trading day period, subject to the Reporting Person's continued service.
