The Form 10-Q for the fiscal period ended January 31, 2011 will not be submitted by the deadline due to a situation where the workload exceeds available personnel. Certain events and activities during and subsequent to the end of the reporting period required the reallocation of time normally used for the preparation of the report. The Registrant was unable to complete analysis of all financial and non-financial information needed to be included in the report. As a result, the Registrant’s independent auditors will also not be able to complete their review of the financial statements prior to March 17, 2011.

We expect to report a net loss of $(998,970) for the quarter ended January 31, 2011, compared to a net loss of $(7,066) for the same period from the prior fiscal year. Such increase was caused by an increase in our other general and administrative expenses from $7,066 to $755,916, impairment of mineral properties of $210,000 and exploration costs of $4,010. The increase in other general and administrative expenses was mainly attributable to the cost of stock based compensation to our former president. The expense for impairment of mineral properties was the cost of issuing 1,000,000 shares under an option agreement to acquire a 70% interest in a mining property.
