Chief Operating Officer and Executive Vice President of the Issuer, the Issuer’s General Partner, Commonwealth Income & Growth Fund Inc. and the Issuer’s Sponsor, Commonwealth Capital Corp.

Chief Operating Officer, Senior Vice President and Director of the Issuer’s Broker/Dealer and the fund’s Dealer-Manager, Commonwealth Capital Securities Corp.
Ms. Whatley cited personal reasons for her resignation.
