1. These shares are owned directly by the Irrevocable Trust Agreement between Barbara P. Ruhlman and Bernard L. Karr, dated July 29, 2008 (the "Trust"), and indirectly by Katherine Wensink, the trustee of the Trust. Robert G. Ruhlman and Randall M. Ruhlman serve as co-business advisors to the Trust and are beneficiaries of the Trust (except with respect to the reported acquisition of Common Shares by the Trust).
