ITEM 8.01—OTHER EVENTS
On February 10, 2011, Revonergy Inc. entered into an initial agreement with Hong Kong-based Global Financial Network Limited. Under the terms of the agreement, Global Financial Network has the right, but no obligation, to purchase up to 20,000,000 shares of Revonergy’s common stock at a price of $0.02 per share and warrants to purchase an additional 20,000,000 shares of Revonergy’s common stock at an exercise price of $0.02 per share. The warrants will expire on March 31, 2012.
Any shares issued under the agreement will be issued under Regulation S and will be restricted shares.
