Explanation of Responses:

1. The purpose of this Form 4 amendment (this "Form 4/A") is to adjust the number of shares issuable upon vesting and settlement of a deferred stock unit award granted on April 3, 2024. In addition, the adjustment has been made to the reporting person's vesting schedule in footnote (2) and the outstanding equity awards, including the number of deferred stock units as reflected on this Form 4/A and described in footnote (3) to this Form 4/A.

2. These shares will vest and be issued with respect to 43,367 shares on each of April 3, 2025, April 3, 2026, and April 3, 2027 and with respect to 43,368 shares on April 3, 2028 pursuant to a deferred stock unit award granted under the Xtant Medical Holdings, Inc. 2023 Equity Incentive Plan, conditioned upon the Reporting Person remaining an employee of Xtant through the applicable vesting date. The settlement of the vested shares, however, will occur at a later date pursuant to the terms of the award agreement.

3. Includes an aggregate of 289,613 shares issuable upon vesting and settlement of restricted stock unit awards or deferred stock unit awards granted under the Xtant Medical Holdings, Inc. 2023 Equity Incentive Plan and 66,750 shares issuable upon vesting and settlement of restricted stock unit awards granted under the Xtant Medical Holdings, Inc. Amended and Restated 2018 Equity Incentive Plan, in each case conditioned upon the Reporting Person remaining an employee of Xtant through the applicable vesting dates.
