Item 3.01 | Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing. |
As previously reported, on April 4, 2019, Xtant Medical Holdings, Inc. (the “Company”) received a letter from NYSE Regulation notifying the Company that it is not in compliance with the NYSE American LLC continued listing standards relating to stockholders’ equity set forth in Sections 1003(a)(i), 1003(a)(ii) and 1003(a)(iii) of the NYSE American Company Guide (the “Company Guide”).
On May 3, 2018, the Company submitted a plan of compliance to NYSE Regulation addressing how it intends to regain compliance with Sections 1003(a)(i), 1003(a)(ii) and 1003(a)(iii) of the Company Guide by October 4, 2020. On May 23, 2019, the Company received a letter from NYSE Regulation stating that the Company’s plan of compliance has been accepted and the Company has been granted a plan period through October 4, 2020.
The Company has been advised that the listing of the Company’s common stock will continue pursuant to an extension during the plan period, during which time the Company will be subject to periodic review to determine whether it is making progress consistent with the accepted plan. Failure to make progress consistent with the plan or to regain compliance with the continued listing standards by October 4, 2020 could result in the Company’s shares of common stock being delisted from the NYSE American.

On May 28, 2019, the Company issued a press release entitled “Xtant Medical Announces NYSE American Acceptance of Plan to Regain Compliance with Continued Listing Standards,” which is attached as Exhibit 99.1 and incorporated by reference herein.
