3. Each restricted stock unit represents a contingent right to receive one share of Issuer's common stock.

4. These restricted stock units are granted under the 2020 Long-term Incentive Plan and are subject to a one (1) year vesting schedule.

Remarks:

Updated the transaction date to be 6/5/2021. Also deleted a duplicate direct holding in table 1 that was being pulled in causing the share totals to be off.
