The Form 10-K for the fiscal year ended January 31, 2013 will not be submitted by the deadline due to a situation whereby as a result of workload exceeding the capacity of available management and external personnel, additional time is required to complete the preparation of our financial statements and for our independent auditors to review the Form 10-K. The Company does expect to submit its filing within the extension period. |

Yes [X] No [ ] | During the current fiscal year ended January 31, 2014 the Company determined to impair the capitalized value of its advance purchase of CER's in the amount of $660,000. As a result, during the current fiscal year we expect to report an operating loss of $684,620 for the twelve months ended January 31, 2014 as compared to a loss from operations of $247,197 for the twelve months ended January 31, 2013. Operating expenses incurred in fiscal 2014 include a total of $9,162 in office expenses (2013 - $27,219), Professional fees of $15,458 (2013 - 32,478) and impairment charges related to the write down of advance payment for CER's of $660,000 (2013 - $Nil). During the fiscal year ended January 2013 the Company incurred amorization expenses of $187,500 with respect to certain acquired intangible assets, with no comparable costs incurred during the current fiscal year. The Company expects to report net losses for the year ended January 31, 2014 of $684,620 (2013 - $247,197) and losses from inception to the year ended January 31, 2014 of $1,360,741. |
