Explanation of Responses:

1. Represents shares underlying restricted stock units ("RSUs"). The RSUs will vest with respect to 25% of the underlying shares on November 15, 2017, and with respect to an additional 6.25% of the underlying shares every three months thereafter, in each case subject to the Reporting Person's continued service through the applicable vesting date.

2. Represents shares underlying restricted stock units ("RSUs"). The RSUs will vest in full on January 2, 2017, subject to the Reporting Person's continued service through such date.
