| On March 31, 2021, REV Alpha Holdings ("REV"), entered into a purchase agreement (the "Purchase Agreement") with Lorex Investments AG ("Lorex"), pursuant to which REV shall purchase 950,000 shares of the Issuer's common stock that Lorex owns (the "Purchased Shares") for aggregate consideration of $9.5 million, in four tranches. Pursuant to the Purchase Agreement, REV purchased the first tranche of 237,500 shares on March 31, 2021 and the second tranche of 237,500 shares on July 27, 2021. |
