Explanation of Responses:

1. Represents restricted stock units granted to the Reporting Person under the Amended and Restated 2014 Equity Incentive Plan. Each restricted stock unit represents the contingent right to receive one share of the Issuer's common stock. The restricted stock units shall vest one-fourth (1/4) on each of the first four (4) anniversaries on the date of grant.

2. The option will vest in 48 equal monthly installments beginning on the first monthly anniversary of the grant date.
