Explanation of Responses:

1. Disposed of pursuant to merger agreement between Bill Barrett Corporation and Fifth Creek Energy Operating Company LLC, among other parties, in exchange for 152,157 shares of HighPoint Resources Corporation common stock having a market value of $4.84 per share, the closing price of Bill Barrett Corporation on the effective date of the merger.

2. This option, which provided for vesting in four equal annual installments beginning February 16, 2013, was assumed by HighPoint Resources Corporation in the merger and replaced with an option to purchase 11,472 shares of HighPoint Resources Corporation common stock for $27.25 per share.
