ITEM 5.06 CHANGE IN SHELL COMPANY STATUS.
On October 25, 2010, the Registrant entered into a Securities Exchange Agreement (the “Exchange Agreement”) with DLT International Ltd., a British Virgin Islands company (“DLT”), and the stockholders of DLT (the “DLT Stockholders”) whereby the Registrant acquired all of the issued and outstanding capital stock of DLT in exchange (the “Exchange”) for 2,267,320 newly issued shares of Common Stock (the “Exchange Shares”).
Following the closing of the Exchange, the Registrant ceased to be a "shell company", as defined pursuant to Rule 12b-2 promulgated under the Exchange Act. The Registrant's Current Report on Form 8-K, filed on October 26, 2010, is hereby incorporated by reference.
