Explanation of Responses:

1. Restricted stock units were settled in cash.

2. Each restricted stock unit represents a contingent right to receive one share.

3. Represents performance based restricted share units awarded on February 3, 2017 relating to a three-year performance cycle (2017-2019). Pursuant to a domestic relations order entered into on September 1, 2019, 81,537 of the 183,228 performance based restricted stock units awarded were transferred to the reporting person's ex-wife. The reporting person no longer reports as beneficially owned any securities owned by his ex-wife. Based on performance at the end of the performance cycle, 76,268 shares underlying this award vested and were settle in cash and 25,423 shares underlying this award were forfeited.
