Explanation of Responses:

1. Represents 10,000 restricted stock units granted to the Reporting Person pursuant to the Issuer's equity incentive plans approved prior to and not in connection with the Reporting Person's appointment as the Issuer's principal accounting officer on August 15, 2016 and becoming a Section 16 reporting person. This RSU grant vests with respect to 40% of the shares on August 15, 2018; 40% of the shares on August 15, 2020; and 20% of the shares on August 15, 2021, subject to the Reporting Person's continuous service through each vesting date.
