Explanation of Responses:

1. Mr. Whiting was granted an option to purchase 4,000 shares of common stock at an exercise price per share of $55.57 on June 18, 2015. This option vests in full on the earlier of the first anniversary of the date of grant or the date of the first annual meeting of the company's Stockholders that occurs after the date of grant, in each case subject to Mr. Whiting's continuing to serve as a member of the board of directors of the company and to the terms of the option agreement accompanying the grant.

2. On June 18, 2015, Mr. Whiting was granted 1,000 restricted stock units representing the right to receive one share of common stock upon vesting of each restricted stock unit. The restricted stock units vest in full on the earlier of the first anniversary of the date of grant or the date of the first annual meeting of the company's Stockholders that occurs after the date of grant, in each case subject to Mr. Whiting's continuing to serve as a member of the board of directors of the company.
