1. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $35.25 to $35.65, inclusive. The reporting person undertakes to provide to 2U, Inc., any security holder of 2U, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the ranges set forth in footnotes (1) and (3) to this Form 4.

2. These shares are held by GSV Capital Corp. ("GSV"). The reporting person is the chief executive officer of GSV. The reporting person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein.
