Explanation of Responses:

1. Triumph Capital, LLC ("Triumph") is a former stockholder of Trilogy Education Services, Inc. ("Trilogy"). On May 22, 2019, Triumph received 41,689 shares and cash as its pro rata consideration in respect of the Company's acquisition of Trilogy pursuant to the Agreement and Plan of Merger, dated April 7, 2019, by and among the Company, Trilogy and the other parties thereto.

2. These shares are held by Triumph. The reporting person is the sole member of Triumph.

3. The price reported in Column 4 is a weighted average price. These shares were purchased in multiple transactions at prices ranging from $14.79 to $15.29, inclusive. The reporting person undertakes to provide to 2U, Inc., any security holder of 2U, Inc., or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares purchased at each separate price within the ranges set forth in footnote (3) to this Form 4.
