Explanation of Responses:

1. This transaction was executed in multiple trades at prices ranging from $13.07 to $13.82. The price reported in Column 4 is a weighted average price. The reporting person hereby undertakes to provide upon request to the SEC staff, the Issuer or a security holder of the Issuer full information regarding the number of shares and prices at which the trades were effected.

2. The shares subject to this option vest and become exercisable in four equal annual installments beginning on August 25, 2016.

Remarks:

This amendment is being filed to correct the number of shares purchased and the price reported in column 4 of Table I as the initial amount and price reported were incorrect. The amount of securities beneficially owned following the reported transaction reported in column 5 of Table I has also been updated accordingly.
