1. Represents the conversion upon vesting of restricted stock units ("RSUs") into common stock. On June 14, 2019, the reporting person was granted 11,207 RSUs that were previously reported on Table II of Form 4.

2. Each RSU represents a contingent right to receive one share of the Issuer's common stock.

3. The RSUs vested in one annual installment on June 14, 2020. Vested shares were delivered to the reporting person on June 14, 2020.
