Item 8.01 Other Events.
On March 30, 2016, DS Healthcare Group, Inc. (the “Company”) filed a Form 12 b-25, Notification of Late Filing, with the Securities and Exchange Commission with respect to its Annual Report on Form 10-K for the year ending December 31, 2015. The Company did not file its Form 10-K within the extension period, as additional time is required to complete the audit of the Company’s consolidated financial statements for fiscal 2015. The Company intends to file the Form 10-K as soon as practicable.
