Item 5.02 Departure of Directors or Certain Officers; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On August 24, 2020, Frank P. Willey notified PennyMac Mortgage Investment Trust (the “Company”) that he was resigning from the Company’s Board of Trustees (the “Board”) effective September 25, 2020. Mr. Willey has served on the Company's Board since its initial public offering in 2009. He is resigning due to his other professional commitments and demands on his time, and not due to any disagreement with the Company on any matter related to the Company's operations, policies or practices.
