Item 7.01 Regulation FD Disclosure.
On August 2, 2017, HD Supply, Inc. (the “Company”) instructed Wilmington Trust, National Association, the trustee and notes collateral agent for the Company’s 5.25% Senior Secured First Priority Notes due 2021 (the “Notes”), to deliver a notice of redemption to the holders of the Notes. Pursuant to the notice of redemption, the Company will redeem the entire aggregate principal amount of the Notes issued and outstanding under the indenture, as amended and supplemented by the first supplemental indenture (together, the “indenture”), in accordance with the terms for redemption contained in the indenture for the Notes. The Company will redeem the Notes on September 1, 2017 (the “Redemption Date”) for a redemption price equal to 100% of the aggregate principal amount outstanding plus the Applicable Premium (as defined in the first supplemental indenture) as of, and the accrued and unpaid interest thereon, if any, to, the Redemption Date.
