Explanation of Responses:

1. Options to purchase 150,000 shares of common stock were exercised on a net basis, and Mr. Reichbach received 85,819 shares of common stock in connection with such exercise.

2. Mr. Reichbach is the trustee of the Charles B. Wang Multigenerational 2012 Trust and in such capacity has voting and dispositive control with respect to such shares. Mr. Reichbach disclaims beneficial ownership of the shares held by the 2012 Trust.

3. The reporting person was granted these restricted shares subject to the terms of the Amended and Restated NeuLion, Inc. 2012 Omnibus Securities and Incentive Plan. The restricted shares vest at a rate of one-quarter of their allotted amount per year over four years. Vesting began on May 18, 2015.

4. The reporting person was granted these restricted shares subject to the terms of the Amended and Restated NeuLion, Inc. 2012 Omnibus Securities and Incentive Plan. The restricted shares vest at a rate of one-quarter of their allotted amount per year over four years. Vesting began on March 7, 2016.

5. The options vested in equal monthly increments over a 48-month period; the first increment vested on May 16, 2012.
