Item 2.02.       Results of Operations and Financial Condition

On March 3, 2021, Western Asset Mortgage Capital Corporation (the “Company”) issued a press release announcing its financial results for the fiscal quarter and year ended December 31, 2020. The text of the press release is furnished as exhibit 99.1 to this Form 8-K.

Item 7.01.        Regulation FD Disclosure

On March 4, 2021, the Company will be holding its quarterly conference call in which it will discuss its financial results.  The presentation for such call is furnished herewith as Exhibit 99.2 to this Form 8-K.
