Explanation of Responses:

1. Restricted Stock Units granted pursuant to the LSB Industries, Inc. 2016 Long Term Incentive Plan, as amended. Each Restricted Stock Unit represents a right to receive one share of common stock of LXU which, following the May 17, 2021 grant date, shall be nonforfeitable. The Restricted Stock Units will be settled in common stock of LXU within thirty days following the earliest to occur of: (i) the director's separation from service, (ii) the anniversary of the grant date, and (iii) the occurrence of a change of control.
