Prior to the disposition described herein, the Reporting Person owned 100% of the issued and outstanding equity of each of (a) Sure Glory Holdings Limited, which directly owned 748,636 shares of common stock, par value $0.001 per share ("Common Stock"), (b) Charming Action Management Limited, which directly owned 616,364 shares of Common Stock, and (c) Golden Country Group Limited, which directly owned 250,000 shares of Common Stock and as a result, the Reporting Person indirectly owned 1,615,000 shares of Common Stock. |

Expert Venture Ltd., a British Virgin Islands entity ("Expert Venture"), directly owns an aggregate of 5,381,420 shares of Common Stock of Deyu Agriculture Corp., of which the Reporting Person held an 18% interest in Expert Venture, which represented 968,655 shares of Common Stock. The Reporting Person has disposed of his interest in Expert Venture. The Reporting Person disclaims beneficial ownership of the securities disposed of except to the extent of his pecuniary interest therein. |
