Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 28, 2010, Wendy’s/Arby’s Group, Inc. (“Wendy’s/Arby’s Group”), the parent company of Wendy’s/Arby’s Restaurants, LLC (the “Company”), announced that Thomas A. Garrett ceased to be a Director and the President and Chief Executive Officer of Arby’s Restaurant Group, Inc. (“ARG”), a wholly owned subsidiary of Wendy’s/Arby’s Group and the Company, and the other positions he held as an officer for certain subsidiaries of Wendy’s/Arby’s Group. Mr. Roland C. Smith, Wendy’s/Arby’s Group’s President and Chief Executive Officer, will assume the role as President of ARG while Wendy’s/Arby’s Group engages in a search for a successor to Mr. Garrett.
